REALTY TRUST, INC. AND CERTAIN OF ITS OFFICERS

LLP today issued the following statement:
A class action has been commenced in the United States District Court for the Middle District of Tennessee on behalf of all persons who purchased the common stock of Prison
Realty Trust, Inc. ("PZN" or the "Company") (NYSE: PZN) between June 10, 1999 and December 27, 1999, inclusive (the "Class Period").
The lawsuit alleges that during the Class
Period defendants violated certain provisions of the Securities and Exchange Act of 1934 by falsely representing that PZN would pay certain dividends to its stockholders and maintain its status as a real estate
investment trust ("REIT"). On December 27, 1999, the Company announced that it would not pay previously announced dividends and would not operate as a REIT.
Plaintiff seeks to recover damages on behalf of all
persons who purchased PZN common stock during the Class Period.
